Acceptance of Terms

By accessing and using the Vynio platform, you confirm that you have read, understood, and accepted these Terms of Service in their entirety. Use of the platform is restricted to individuals with legal capacity to enter into contracts. Access is prohibited to minors under 16 years of age without parental or legal guardian consent.

Description of Services

Vynio offers BI products for Snowflake, BigQuery, and Astrato. As of July 2026, the following product is available for purchase:

3.1 Template Engine SQL — Custom SQL

Production-ready SQL template personalized to your schema and CSV/PDF context files (40% free preview, full delivery after payment). Instant download and transactional email delivery.

The following products are on a waitlist: Astrato Studio Premium, Data Profiler, Docs Generator, Pro Plan, and Team Plan.

3.2 Availability

Vynio strives to keep its services available but does not guarantee uninterrupted availability.

User Account and Guest Checkout

Template Engine SQL purchases are available without an account (guest checkout via Stripe). User accounts (Clerk) will be offered in a later phase for history and subscriptions.

When an account is active, you agree to:

·Provide accurate information at checkout or account creation

·Keep your order reference (cs_…) to retrieve purchases

·Not share your credentials with third parties

Vynio may suspend access in case of violation of these terms.

Financial Terms

5.1 Pricing

Prices are displayed in Canadian dollars (CAD). Vynio reserves the right to modify its prices at any time, with 30 days' notice for active subscriptions.

5.2 Payment

Payments are processed by Stripe, a secure third-party payment provider. Vynio does not store any credit card information on its servers.

5.3 Taxes

GST (5%) and QST (9.975%) apply to purchases made from Quebec, in accordance with applicable tax legislation.

5.4 Refund Policy

Refunds are granted within 14 days of purchase for one-time purchases if the delivered template does not match the ordered specifications. Contact: hello@vynio.io

Intellectual Property

6.1 Vynio Platform

All content on the Vynio platform is the exclusive property of the Vynio operator and is protected by Canadian copyright laws.

6.2 Generated Templates

SQL and visualization templates generated for a user are granted under a non-exclusive personal and commercial use license. Users may not resell, redistribute, or publish generated templates as if they were the original author.

6.3 User Data

Data you submit (parameters, configurations) remains your property. By submitting it, you grant Vynio a limited, non-exclusive license to process it for the purpose of delivering the requested service.

Acceptable Use

You are strictly prohibited from using the platform to:

·Violate applicable Canadian, Quebec, or international laws

·Attempt unauthorized access to Vynio's systems

·Use bots, scrapers, or other unauthorized automated means

·Reproduce, distribute, or commercially exploit services without authorization

·Submit personal data of third parties without their explicit consent

·Introduce viruses, malware, or any malicious code

Any violation of these rules may result in immediate account suspension and legal action.

Limitation of Liability

To the extent permitted by applicable law, Vynio shall not be liable for:

·Data loss or service interruptions

·Indirect, consequential, or punitive damages

·The accuracy or relevance of AI-generated templates

·Actions or omissions of third-party providers (Stripe, Anthropic, Vercel, Supabase)

Vynio's total liability to any user shall not exceed the amount paid by that user in the past 12 months.

Personal Data Protection

The collection and processing of your personal data is governed by Vynio's Privacy Policy, available at https://vynio.io/en/privacy. Vynio complies with Law 25 (Quebec), PIPEDA, and GDPR for European Union users.

Modifications to Terms

Modifications take effect upon publication on the platform. For material changes, active account holders will be notified 30 days in advance. Continued use of the platform after notification constitutes acceptance of the new terms.

Termination

You may terminate your account at any time by contacting us at support@vynio.io. Vynio may suspend or terminate your access in case of violation of these terms, without notice or refund. Provisions relating to intellectual property, limitation of liability, and dispute resolution survive termination.

Governing Law and Dispute Resolution

These terms are governed by the laws of the Province of Quebec and applicable federal laws of Canada. Any dispute arising from these terms shall be subject to the exclusive jurisdiction of Quebec courts. The parties agree to attempt to resolve any dispute in good faith before initiating any legal proceedings.

Miscellaneous

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions remain in full force. Vynio's failure to act in the event of a violation does not constitute a waiver of its rights.
